Saiwei Electronics intends to transfer the control of Sweden Silex and focus on the expansion of domestic MEMS production lines
On June 13, 2025, Beijing Saiwei Electronics Co., Ltd. (hereinafter referred to as "Saiwei Electronics") issued a summary of the major asset sale report (draft), announcing that it intends to transfer its 4,410,115 shares of Sweden Silex Microsystems AB to seven transaction parties including Bure and Creades in cash through its wholly-owned subsidiary Yuntong Electronics, accounting for 45.24% of the total number of shares after the transaction is completed.
The transaction price is 2.375 billion Swedish kronor, which is equivalent to RMB 1.783 billion at the exchange rate on May 30, 2025 (SEK/CNY=0.7509). After the transaction is completed, Saiwei Electronics will no longer hold a controlling stake in Sweden Silex. The company will be converted from a wholly-owned subsidiary to a joint-stock company and will no longer be included in the scope of consolidated financial statements.
Founded in 2000, Sweden's Silex is the world's leading MEMS (micro-electromechanical system) chip manufacturer. Since its formal merger with Saiwei Electronics in 2016, Silex has achieved multiple growth in revenue and profit, with annual operating income increasing from 200 million yuan before the acquisition to over 800 million yuan, and net profit reaching 200 million yuan, ranking first in the global MEMS foundry industry for five consecutive years.
This equity transfer is an important measure for Saiwei Electronics to actively optimize resource allocation and focus on domestic development under the background of global industrial structure adjustment. The company said that the funds obtained from the transaction will further support the expansion of the 8-inch MEMS wafer factory in Beijing and create a more focused, self-controlled domestic MEMS process platform. The production line is positioned as large-scale mass production, and its current production capacity has reached 15,000 pieces/month, and it is planned to expand to 30,000 pieces/month in stages.
Through this strategic adjustment, Saiwei Electronics will continue to strengthen the local industrial chain collaboration capabilities and actively seize the strategic opportunities of China's semiconductor industry upgrading and domestic substitution.
